1. Agreement to Terms
By accessing or using FigrOut ("Service"), operated by CommVergent Automation ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
FigrOut is a cloud-based accounting and financial management platform designed for project-driven organizations. The Service includes features for general ledger accounting, project tracking, budgeting, reporting, and integration with third-party services.
3. User Accounts
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your password and accept all risks of unauthorized access
- Notify us immediately if you discover any security breaches
- Accept responsibility for all activities that occur under your account
4. Subscription and Payment
Some aspects of the Service are provided on a subscription basis. By subscribing, you agree to:
- Pay all fees associated with your chosen subscription plan
- Authorize us to charge your payment method on a recurring basis
- Understand that subscriptions automatically renew unless canceled
Prices are subject to change with 30 days' notice. Refunds are handled on a case-by-case basis.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit harmful code, viruses, or malicious software
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service for any fraudulent or deceptive purposes
- Reverse engineer, decompile, or attempt to extract source code
6. Your Data
You retain all rights to the data you upload to the Service ("Your Data"). By using the Service, you grant us a limited license to use Your Data solely to provide the Service to you.
You are responsible for maintaining backups of Your Data. We are not liable for any loss of Your Data.

7. Intellectual Property
The Service and its original content, features, and functionality are owned by CommVergent Automation and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
8. Third-Party Services
The Service may integrate with third-party services (such as BildOut, payment processors, etc.). Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the content or practices of third-party services.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMVERGENT AUTOMATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless CommVergent Automation and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Service or violation of these Terms.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.
Upon termination, your right to use the Service will cease immediately. You may export Your Data before termination.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date.
Your continued use of the Service after any changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15. Dispute Resolution
Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
